Purpose

Hyp Services, through its Hyp Contractor Services Division, will provide advertising and canvassing services for the Client. The Client agrees to work exclusively with Hyp Services for a period of 90 days from the Effective Date of this Agreement.

Client Payment Obligations

1. Canvassing Labor

• Client pays $120 per day for canvassing services.
• Total coverage: 150 days of canvassing.
• A deposit is required before services begin. The specific deposit amount and schedule may be documented in an attached invoice or payment schedule.

2. Marketing Materials Deposit

The Client shall pay a $500 deposit covering the following items:

• Customer signup forms
• Postcards
• Flyers
• Administrative fees

Service Provider Deliverables (Hyp Services)

• Provide a bi-weekly progress report summarizing canvassing activity and lead generation.
• Distribute 5,000 postcards/flyers within the agreed geographic region.
• Targeted outcome: an estimated $5,000 worth of prospects generated from the distribution of 5,000 postcards/flyers.

Additional Notes

Term and Exclusivity

This Agreement shall commence on the date of the last signature below ("Effective Date") and shall remain in effect for 90 days. During this term, the Client agrees not to engage any other advertising or canvassing provider for substantially similar services within the same geographic region and scope.

Liability and Indemnification

Each party shall be responsible for its own acts and omissions. Neither party shall be liable to the other for any indirect, incidental, or consequential damages arising out of this Agreement. However, nothing in this clause limits liability for gross negligence, willful misconduct, or any liability that cannot be limited by law.

The Client agrees to indemnify and hold harmless Hyp Services from any claims arising from the Client's products, services, or representations made to prospects or customers obtained through the advertising and canvassing efforts under this Agreement.

Entire Agreement and Amendments

This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior discussions or agreements, whether written or oral. Any amendments or modifications must be made in writing and signed by both parties.

By signing below, the parties acknowledge that they have read, understood, and agree to be bound by the terms of this Advertising Services Contract.
